USER SUBMISSIONS

User Videos and User Comments are collectively referred to as “User Submissions.” You understand that whether or not such User Submissions are published, Taco John’s does not guarantee any confidentiality with respect to any User Submissions.

You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize Taco John’s to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Taco John’s web sites and these Terms of Service.

You retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to Taco John’s, you hereby grant Taco John’s a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Taco John’s web sites and business, including without limitation for promoting and redistributing part or all of the Taco John’s web sites (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Taco John’s web
sites a non-exclusive license to access your User Submissions through the web sites, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the web sites and under these Terms of Service. The above licenses granted by you in User Submissions are perpetual and irrevocable.

Taco John’s does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Taco John’s expressly disclaims any and all liability in connection with User Submissions. Taco John’s does not permit copyright infringing activities and infringement of intellectual property rights on its web sites and Taco John’s will remove User Submissions if properly notified that such User Submission infringes on another’s intellectual property rights. Taco John’s reserves the right to remove User Submissions without prior notice.

Taco John’s has the right (but not the obligation) to do one or all of the following, at its discretion, (i) monitor User Submissions, (ii) alter, remove, or refuse to post or allow to be posted or stored any User Submissions, (iii) monitor and/or filter any of your communications through the Taco John’s web sites (including by means of blocking or replacing language that may be deemed harmful or offensive), and (iv) disclose any User Submission or any communication through the Taco John’s web sites, and the circumstances surrounding the transmission thereof, to any “third party” in order to: (a) operate the web sites, (b) protect Taco John’s and its employees, officers, directors, shareholders, agents, and representatives, and the Taco John’s web sites users and visitors, (c) comply with legal obligations or government requests, and (d) enforce these Terms of Service.
